1. Acceptance of These Terms

By accessing jamroq.brainiaqinc.com (the “Site”) or purchasing any product or service offered by JamRoQ Marketplace(“we,” “us,” “our”), you (“you,” “your,” “Customer”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Site.

2. Eligibility

You must (a) be at least 18 years old (or the age of majority in your state of residence) and (b) reside in one of the 50 U.S. states or the District of Columbia. By using the Site, you represent and warrant that you meet these criteria.

3. Accounts & Security

Accuracy. All registration information must be truthful, complete, and kept current.

Credentials. You are responsible for safeguarding your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.

Suspension. We may suspend or terminate accounts for violation of these Terms or applicable law.

4. Product Information, Pricing & Availability

We strive for accuracy, but errors, inaccuracies, or omissions may occur. We reserve the right to correct them at any time and to cancel orders (and issue a full refund) when necessary.

5. Orders, Payment & Taxes

Payment Methods. We accept only the payment options displayed at checkout.

Authorization. By providing payment information, you authorize us to charge the total order amount.

Sales Tax. Applicable federal, state, and local taxes are calculated and collected at checkout.

6. Shipping; Risk of Loss

Our Shipping Information (posted separately on the Site) forms part of these Terms. Title and risk of loss transfer to you upon our delivery of goods to the carrier.

7. No-Return Policy

All sales are final. Our No Return Policy (posted separately) governs statutory exceptions (e.g., items damaged in transit). That policy is incorporated into these Terms by reference.

8. Intellectual Property

All content on the Site — including text, graphics, logos, images, software, and compilations — is owned by or licensed to JamRoQ Marketplace and protected by U.S. intellectual-property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

9. User Content & Feedback

If you submit reviews, photos, or other materials (“User Content”):

  • You grant us a worldwide, perpetual, irrevocable, royalty-free license to use, display, reproduce, and modify the User Content in any media.
  • You represent that you own or control all rights to the User Content and that it does not infringe any third-party rights or violate any law.
  • We may remove or edit User Content at our sole discretion.

10. Prohibited Uses

You agree not to:

  • Violate any federal, state, or local law;
  • Upload malicious code or engage in any activity that disrupts the Site;
  • Use the Site to harass, defame, or harm others;
  • Scrape, crawl, or use automated means to access the Site without permission.

11. Disclaimer of Warranties

EXCEPT FOR ANY NON-WAIVABLE WARRANTIES PROVIDED BY LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JAMROQ MARKETPLACE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT AT ISSUE.

13. Indemnification

You agree to defend, indemnify, and hold JamRoQ Marketplaceand its officers, directors, employees, and agents harmless from any claims, damages, or expenses (including attorneys’ fees) arising out of your (i) use of the Site, (ii) violation of these Terms, or (iii) infringement of any third-party rights.

14. Governing Law & Dispute Resolution

Governing Law.These Terms are governed first by applicable federal law of the United States, including the Federal Arbitration Act. Where federal law does not supply a rule of decision, the laws of the U.S. state in which you reside at the time of purchase will apply, without regard to that state’s conflict-of-law principles.

Arbitration Agreement.Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect.

Class-Action Waiver. You and we waive any right to participate in a class action or class arbitration.

Court Jurisdiction. If a dispute is found not to be arbitrable, it may be brought in any court of competent jurisdiction within the United States, and the parties consent to the personal jurisdiction of such courts.

15. Changes to Terms

We may revise these Terms at any time by posting the updated version on the Site. Revisions apply to all purchases and Site use after the “Last Updated” date.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
